Welcome to RightPay Africa! These Terms of Use ("Terms") govern your use of our SaaS Software products, provided by RightPay Africa ("RightPay," "we," "our," or "us"). By accessing or using our software and related services, you agree to be bound by these Terms. Please read them carefully before proceeding. If you do not agree to these Terms, you may not use our software or services.
1. Acceptance of Terms
By using RightPay Africa's software or services, you acknowledge that you have read, understood, and agree to comply with these Terms. These Terms constitute a binding agreement between you and RightPay Africa. If you are using our software or services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" or "your" refers to the organization.
2. RightPay Africa Services
RightPay Africa provides SaaS Cloud Accounting and Billing Software designed to assist businesses in managing their financial operations effectively. Our services include but are not limited to invoicing, billing, expense tracking, financial reporting, and integration capabilities with third-party applications.
3. User Accounts and Security
To access and use our software, you must create a user account. You are responsible for maintaining the confidentiality of your account information, including your username and password. You agree to notify us immediately of any unauthorized access or use of your account. RightPay Africa shall not be liable for any loss or damage arising from your failure to protect your account information.
4. Use of the Software
a. License: RightPay Africa grants you a non-exclusive, non-transferable, revocable license to use our software and services for your internal business purposes, subject to these Terms. This license does not permit you to resell or distribute our software or services to third parties.
b. Prohibited Activities: You agree not to engage in any activity that:
- Violates any applicable law or regulation.
- Infringes upon the rights of others.
Interferes with or disrupts the functionality of the software or services. - Attempts to gain unauthorized access to any part of the software or services.
- Attempts to reverse engineer, decompile, or modify the software.
5. Data and Privacy
a. Data Ownership: You retain ownership of the data you upload or input into our software. RightPay Africa does not claim ownership of your data, but we require certain rights to use and process your data as necessary to provide our services to you.
b. Data Security: We implement reasonable security measures to protect your data. However, you understand that no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
c. Data Confidentiality: RightPay Africa will treat your data as confidential and will not disclose it to third parties, except as required by law or as necessary to provide the services to you.
6. Fees and Payments
a. Subscription Fees: RightPay Africa offers various subscription plans, each with its own fees and features. By subscribing to a plan, you agree to pay the applicable fees as indicated on our website or as mutually agreed upon in writing.
b. Payment Terms: Unless otherwise specified, all fees are due in advance and are non-refundable. You are responsible for timely payment of all fees associated with your subscription.
7. Intellectual Property Rights
a. Ownership: RightPay Africa retains all rights, title, and interest in and to our software, including all intellectual property rights. You acknowledge that you have no ownership rights in our software except for the limited license granted under these Terms.
b. Feedback: If you provide us with any suggestions, ideas, or feedback regarding our software or services, you grant RightPay Africa a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate such feedback into our products and services.
8. Limitation of Liability
To the extent permitted by applicable law, RightPay Africa shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of our software or services, even if we have been advised of the possibility of such damages.
9. Modifications and Termination
RightPay Africa reserves the right to modify or terminate the software or services at any time, with or without notice. We may also update these Terms from time to time. Your continued use of our software or services after any modifications to the Terms indicates your acceptance of the modified Terms.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federation of Nigeria and Lagos State, Nigeria. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the Nigerian Arbitration & Mediation Act, 2023. Each party shall bear its own costs associated with the arbitration.
11. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
12. Entire Agreement
These Terms constitute the entire agreement between you and RightPay Africa regarding your use of our software and services and supersede any prior agreements or understandings, whether written or oral.
